Terms of Service

These Terms of Service (“Terms”) govern your access to and use of EarlySignals.vc and related services operated by AI Knowledge Solutions Inc. (“EarlySignals,” “we,” “us,” or “our”).

By accessing or using the service, you agree to these Terms.

You may use the service only if:

• you are at least 18 years old; and
• you are using the service for professional purposes.

You may not use the service if doing so would violate applicable law.

3. The service

EarlySignals.vc is a professional online service that provides access to startup-related information, filtering tools, and related subscription-based features.

We may update, improve, modify, suspend, or discontinue any part of the service at any time.

4. Accounts

To use certain features, you must create an account and provide accurate, complete, and current information.

You are responsible for:

• maintaining the confidentiality of your account credentials;
• all activity occurring under your account;
• notifying us promptly if you believe your account has been compromised.

We may suspend or terminate accounts that violate these Terms or create risk for the service or other users.

5. Subscription and billing

Access to paid features requires an active subscription.

Current plans and pricing are presented during the subscription process. We may update pricing from time to time, but changes will not apply retroactively to amounts already paid for the current billing period.

Free trial

We currently offer a 7-day free trial through Stripe, subject to the terms shown at checkout.

Billing cycle

Subscriptions may be offered on a monthly or annual basis, as shown during purchase.

Renewal

Unless cancelled, subscriptions renew automatically at the end of the applicable billing cycle.

Cancellation

If you cancel, your subscription remains active until the end of the current paid period. No further renewal charge should be applied after cancellation, subject to Stripe processing and applicable billing rules.

6. Refunds

Refund requests are reviewed case by case.

We are not obligated to provide refunds except where required by applicable law or where we expressly decide to do so.

7. Acceptable use

You agree not to:

• use the service for unlawful purposes;
• interfere with, disrupt, or damage the service;
• attempt unauthorized access to accounts, systems, or data;
• copy, scrape, crawl, mirror, or extract the service at scale without our written permission;
• resell, sublicense, redistribute, or commercially exploit the service except as expressly authorized;
• reverse engineer, decompile, or attempt to derive source code, models, or protected internal logic except to the extent such restriction is prohibited by law;
• use bots, scripts, or automated means to abuse the service or bypass rate limits, permissions, or access controls;
• upload or transmit malicious code or harmful content.

8. Intellectual property

The service, including its design, software, branding, content selection, compiled outputs, and related intellectual property, is owned by or licensed to AI Knowledge Solutions Inc. and is protected by applicable laws.

These Terms do not grant you ownership of the service or any underlying intellectual property.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service for your internal professional use.

9. Availability and changes

We do not guarantee that the service will always be available, uninterrupted, error-free, or suitable for every purpose.

We may change features, functionality, pricing, availability, or technical requirements at any time.

10. Third-party services

The service may integrate with or rely on third-party providers, including payment, hosting, authentication, and infrastructure providers. We are not responsible for third-party services except as required by law.

11. Termination and suspension

We may suspend or terminate your access if:

• you breach these Terms;
• your subscription expires or is cancelled;
• we reasonably believe your use creates legal, technical, or security risk;
• we are required to do so by law.

You may stop using the service at any time.

12. Disclaimers

The service is provided on an “as is” and “as available” basis, to the maximum extent permitted by law.

We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or reliability.

13. Limitation of liability

To the maximum extent permitted by law, AI Knowledge Solutions Inc. and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity arising from or related to the service.

To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the service will not exceed the amount you paid us for the service during the 12 months preceding the event giving rise to the claim.

14. Indemnity

You agree to defend, indemnify, and hold harmless AI Knowledge Solutions Inc. from claims, liabilities, damages, losses, and expenses arising out of:

• your use of the service;
• your violation of these Terms; or
• your violation of applicable law or third-party rights.

15. Governing law and jurisdiction

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

16. Changes to these Terms

We may update these Terms from time to time. Continued use of the service after updated Terms become effective constitutes acceptance of the updated Terms.
